Please read these Terms of Service carefully before using the Cognitive Craft Labs website or purchasing any of our products or services. By accessing our site or engaging our services, you agree to be bound by these terms. If you do not agree, please do not use our services.
Acceptance of Terms
By accessing or using the website located at cognitivecraftlabs.com (the "Site") or engaging any services offered by Cognitive Craft Labs ("CCL," "we," "us," or "our"), you agree to be legally bound by these Terms of Service ("Terms"). These Terms apply to all visitors, users, clients, and others who access or use our services.
If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Services
Cognitive Craft Labs provides business intelligence, data analysis, and marketing campaign services to small and medium-sized businesses and entrepreneurs. Our current offerings include:
- The Intelligence Sprint — a one-time done-for-you intelligence engagement
- The Intelligence Retainer — an ongoing monthly intelligence and campaign service
- SignalOps™ — our intelligence execution platform and associated deliverables
- CCL Lab Results™ — intelligence briefs, signal scoring reports, and campaign assets
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients. CCL may also introduce new products, experiments, or services at any time.
Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services. By using the Site or engaging our services, you represent and warrant that you meet these requirements.
Our services are intended for business owners, entrepreneurs, and business entities. CCL reserves the right to refuse service to any individual or entity at our discretion.
Client Accounts & Data Submission
Certain services require you to submit business data, create an account, or complete an intake process. You are responsible for:
- Providing accurate, complete, and up-to-date information
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying CCL immediately of any unauthorized use of your account
You represent and warrant that any data you submit to CCL is accurate, lawfully obtained, and that you have all necessary rights to share it with us for the purposes of our engagement.
Payments & Refunds
All fees for CCL services are as stated at the time of purchase or engagement. Payment is due in full prior to the commencement of any Intelligence Sprint engagement. Monthly Retainer fees are due at the beginning of each billing cycle.
Due to the nature of our services, which involve significant time, data analysis, and proprietary methodology applied to each engagement, all sales are final. CCL does not offer refunds once an engagement has commenced or data has been submitted for analysis.
If you believe there has been a billing error, please contact us within 7 days of the charge at admin@cognitivecraftlabs.com. CCL will review all billing disputes in good faith.
For monthly Retainer clients, you may cancel your subscription with 30 days written notice. No refunds will be issued for the current billing period upon cancellation.
Intellectual Property
All content on this Site including but not limited to text, graphics, logos, the Scrabble-tile logo mark, the CCL Lab Results™ format, the SignalOps™ name and methodology, and the StratEdge Intelligence™ framework, is the exclusive property of Cognitive Craft Labs and is protected by applicable intellectual property laws.
Upon full payment for a completed engagement, CCL grants you a limited, non-exclusive, non-transferable license to use the campaign assets and deliverables produced for your specific engagement for your own business purposes. You may not resell, sublicense, or represent CCL deliverables as your own methodology or intellectual property.
CCL retains all rights to its proprietary methodologies, frameworks, scoring systems, and platform infrastructure regardless of client engagement.
Confidentiality
CCL treats all client data and business information submitted during an engagement as confidential. We will not share, sell, or disclose your proprietary business data to third parties except as required to deliver our services or as required by law.
By engaging CCL services, you acknowledge that our methodologies, frameworks, and internal processes are proprietary and confidential. You agree not to reverse-engineer, reproduce, or disclose CCL's internal methodology to third parties.
Disclaimer of Warranties
CCL services are provided on an "as is" and "as available" basis. While we apply rigorous methodology to every engagement, we make no guarantees regarding specific business outcomes, revenue results, campaign performance, or return on investment.
Business intelligence and marketing campaigns are inputs to your business, not guarantees of outcome. Results depend on many factors outside CCL's control, including market conditions, implementation quality, and individual business circumstances.
To the fullest extent permitted by applicable law, CCL disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Cognitive Craft Labs, its founders, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services.
In no event shall CCL's total liability to you exceed the amount paid by you to CCL in the three months preceding the claim.
Termination
CCL reserves the right to suspend or terminate your access to our services at any time, with or without cause, including if we believe you have violated these Terms. Upon termination, your right to use our services ceases immediately.
Provisions of these Terms that by their nature should survive termination including intellectual property, confidentiality, disclaimer, and limitation of liability, shall survive any termination.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in New Jersey, and you consent to personal jurisdiction in those courts.
Changes to These Terms
CCL reserves the right to update or modify these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. Your continued use of our services after any changes constitutes your acceptance of the updated Terms.
We encourage you to review these Terms periodically. Material changes will be communicated via email to active clients where reasonably practicable.
